Terms and Conditions

1. Confidentiality

Both parties agree to maintain strict confidentiality regarding all intellectual property and proprietary business information shared during the course of engagement. A mutual non-disclosure agreement (NDA) is considered in effect upon signing.

2. Billing & Payment

A one-time integration fee is invoiced upon contract signing.

A recurring monthly subscription fee will be invoiced starting from the onboarding date.

All payments are due within 15 days of invoice date.

Late payments may result in service interruptions or additional fees.

3. Scope of Services

Services are limited to the features and usage tiers defined under the selected subscription plan. Any services beyond the scope (e.g., custom features, additional users, or usage overages) will require a separate change order and may incur additional fees.

4. Cancellation & Termination

The Client may cancel services after the initial contract term with 30 days’ written notice.

Service will continue through the end of the current billing period.

No refunds are provided for partial-month usage or unused minutes.

5. Service Availability & Downtime

While we aim for 99.9% uptime, occasional maintenance or third-party service disruptions may occur. We are not liable for any business losses resulting from such downtime.

6. Limitation of Liability

Our total liability is limited to the amount paid by the Client in the previous three months. We are not liable for any indirect, incidental, or consequential damages.
